Terms of Service

Effective Date: Upon Publication

These Terms of Service ("Terms") govern your access to and use of Yaap, a private, paid messaging platform where fans purchase access to messaging features and subscriptions to engage with creators and their teams.

1. Acceptance of Terms

By accessing or using Yaap through any means (web, mobile, or API), you agree to be bound by these Terms. If you do not agree, do not use Yaap.

These Terms incorporate by reference:

Important notices: These Terms contain provisions regarding binding arbitration, class action waivers, auto-renewing subscriptions, and consent to electronic communications. Please read them carefully.

2. Platform Overview

Yaap Is a Communication Platform, Not a Content Marketplace

Yaap enables paid communication between fans and creators. You pay for access and opportunity—not guaranteed outcomes.

Users pay for:

  • Messaging access (via coins)
  • VIP subscriptions (monthly or yearly)
  • Platform functionality

No guarantee of:

  • Response from any creator
  • Personal authorship of messages
  • Specific tone, length, frequency, or timing

Disclosure About Messages

Messages you receive may be:

  • Written directly by the creator
  • Written by authorized team members (agencies, managers, staff)
  • AI-assisted or partially automated

All purchases are for access to messaging features, not guaranteed personal interaction with any specific individual.

3. Eligibility

To use Yaap, you must:

  • Be at least 18 years old (or the age of majority in your jurisdiction, whichever is higher)
  • Provide accurate registration information
  • Maintain only one account

No minors are permitted under any circumstances. Yaap may refuse or revoke access at its sole discretion.

4. Account Security

You are responsible for:

  • All activity on your account
  • Protecting your login credentials
  • Notifying us immediately of suspected unauthorized access

Creators are responsible for all activity by their authorized representatives. Yaap is not liable for losses caused by unauthorized access resulting from your negligence.

5. Creators, Agencies, and Authorized Representatives

Creators operate as independent contractors. No employment, partnership, or fiduciary relationship exists between Yaap and any creator.

Creators may authorize:

  • Agencies
  • Managers
  • Moderators
  • Support staff

Creators remain fully responsible for all messages sent on their behalf and compliance with these Terms and applicable laws.

Yaap may require:

  • Disclosure of team or agency involvement
  • Identity verification
  • Removal of representatives at any time

6. AI-Assisted Features

Yaap may offer AI-powered tools including:

  • Suggested replies
  • Message drafting assistance
  • Content moderation and safety detection

Creators may use these tools to manage message volume. By using Yaap, you acknowledge that:

  • Messages may not be typed in real time
  • Messages may be partially or fully AI-assisted

AI assistance does not change any user's obligation to comply with these Terms or platform rules.

7. Payments, Subscriptions, and Monetization

Coin System (Fans)

Fans purchase coins to send messages to creators:

  • First message to any creator: Free
  • Messages before a creator replies: Free
  • Subsequent messages: Cost varies by creator (default: 5 coins)

Coin packages are purchased through Stripe. Pricing varies by creator.

VIP Subscriptions

VIP subscriptions provide benefits such as:

  • Discounted coin costs (default: 20% off)
  • Additional features as offered by creators

Subscriptions auto-renew at the end of each billing period (monthly or yearly) unless canceled. You can cancel anytime in your account settings. Cancellation takes effect at the end of the current billing period.

Refunds and Chargebacks

All coin purchases and subscription payments are final and non-refundable except as required by applicable law.

No refunds are provided for:

  • Non-responses from creators
  • Delayed responses
  • AI-assisted responses
  • Unused coins

Coins have no cash value and cannot be exchanged for money. Chargeback abuse may result in account suspension or permanent ban. Yaap may provide transaction data to payment processors to dispute fraudulent chargebacks.

Creator Payouts

Creator payouts are subject to:

  • Holds, reserves, or delays for chargebacks or fraud risk
  • Compliance reviews
  • Platform fees (currently 20% of transaction value)

Yaap may offset balances where permitted by law.

8. Platform Rules and Prohibited Conduct

Zero-Tolerance Policy

The following are strictly prohibited:

  • Nudity of any kind
  • Pornographic or sexually explicit content
  • NSFW content
  • Sexual services or solicitation
  • Content involving minors or sexualization of minors
  • Child sexual abuse material (CSAM)—zero tolerance, reported to authorities

Additional Prohibited Conduct

  • Harassment, stalking, threats, or extortion
  • Hate speech or discrimination
  • Fraud, scams, or manipulation
  • Circumventing platform fees or rules
  • Redirecting users off-platform to avoid enforcement
  • Using coded language or external links to evade moderation
  • Security abuse, scraping, unauthorized automation, or reverse engineering
  • Impersonation of creators or other users
  • Creating multiple accounts to evade enforcement

Attempts to violate these rules are treated as violations.

9. Content Ownership and License

You retain ownership of content you create on Yaap. By posting or sending content, you grant Yaap a worldwide, non-exclusive, royalty-free license to:

  • Host and store
  • Display and transmit
  • Moderate and analyze
  • Enforce platform rules

This license survives account termination as necessary for legal compliance, dispute resolution, and safety investigations.

Feedback, suggestions, or ideas you provide may be used freely by Yaap without compensation or attribution.

10. Creator Obligations

Creators represent and warrant that:

  • They have all rights to their name, likeness, and content
  • Their activity complies with advertising laws and endorsement disclosure requirements
  • They will not mislead fans or promise outcomes they cannot guarantee
  • They will honor advertised benefits to VIP subscribers

11. Moderation, Trust, and Safety

Yaap uses a combination of:

  • Automated detection systems
  • Human review

Content and messages may be reviewed for safety, fraud prevention, and policy enforcement. Yaap does not guarantee that all violations will be detected or addressed immediately.

12. Reporting and Enforcement

Users may report violations in-app or through our support channels.

Enforcement actions may include:

  • Content removal
  • Feature restrictions
  • Account suspension or termination
  • Payment holds or forfeiture
  • Device, payment method, or identity blocking

Repeat or egregious violations result in permanent bans. Yaap's enforcement decisions are final.

13. Copyright and DMCA

Yaap respects intellectual property rights and complies with the Digital Millennium Copyright Act (DMCA).

To report copyright infringement, send a notice to our designated agent including:

  • Identification of the copyrighted work
  • Identification of the infringing material and its location
  • Your contact information
  • A statement of good faith belief
  • A statement of accuracy under penalty of perjury
  • Your physical or electronic signature

Counter-notifications may be submitted following the same process. Repeat infringers will have their accounts terminated.

14. Privacy and Communications

Your use of Yaap is governed by our Privacy Policy.

By using Yaap, you consent to receive:

  • Service-related emails
  • In-app messages and notifications
  • Transactional notices

Yaap may record, analyze, or review interactions for safety, moderation, and quality assurance purposes.

15. Disclaimers

Yaap is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied.

Yaap makes no warranties regarding:

  • Platform availability or uptime
  • Accuracy of information
  • Creator behavior, responsiveness, or identity
  • Quality or frequency of responses
  • Fitness for any particular purpose

16. Limitation of Liability

To the maximum extent permitted by law, Yaap's total liability for any claims arising from your use of the platform shall not exceed the greater of:

  • The fees you paid to Yaap in the 12 months preceding the claim, or
  • $100 USD

Yaap shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill.

Some jurisdictions do not allow these limitations, so they may not apply to you.

17. Indemnification

You agree to indemnify, defend, and hold harmless Yaap, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

  • Your content
  • Your conduct on the platform
  • Your violation of these Terms or any applicable law

Creators additionally indemnify Yaap for:

  • Disputes regarding name, likeness, or intellectual property
  • Endorsement or advertising law violations
  • Actions of authorized agencies or representatives

18. Suspension and Termination

Yaap may suspend or terminate your account immediately and without notice for:

  • Safety risks to users or the platform
  • Payment abuse or fraud
  • Violation of these Terms or platform rules
  • Any other reason at Yaap's sole discretion

You may delete your account at any time through your account settings. Upon termination, your right to use Yaap ceases immediately.

Sections regarding content licenses, indemnification, limitation of liability, and dispute resolution survive termination.

19. Legal Compliance

You agree to comply with all applicable laws, including:

  • U.S. export control laws and regulations
  • Economic sanctions programs
  • Anti-corruption and anti-bribery laws

You may not use Yaap if you are located in a sanctioned country or are on any U.S. government prohibited party list.

20. Changes to Terms

Yaap may modify these Terms at any time. For material changes, we will provide notice through the platform or via email at least 30 days before the changes take effect.

Your continued use of Yaap after changes become effective constitutes acceptance of the modified Terms. If you do not agree, you must stop using Yaap.

21. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

Any disputes not subject to arbitration shall be resolved exclusively in the state or federal courts located in Delaware.

22. Arbitration and Class Action Waiver

Please read this section carefully. It affects your legal rights.

You and Yaap agree to resolve any disputes through binding individual arbitration rather than in court, except for claims that may be brought in small claims court.

Class Action Waiver: You agree to resolve disputes with Yaap on an individual basis only. You waive any right to participate in class actions, class arbitrations, or representative actions.

Arbitration will be conducted by JAMS under its Streamlined Arbitration Rules. The arbitrator's decision is final and binding.

Opt-Out: You may opt out of this arbitration agreement by sending written notice to Yaap within 30 days of creating your account. The notice must include your name, email address, and a clear statement that you wish to opt out.

23. Electronic Communications

By using Yaap, you consent to receive communications from us electronically, including emails, in-app messages, and notices posted on the platform. These electronic communications satisfy any legal requirement that communications be in writing.

Legal notices to Yaap should be sent through our in-app support.

24. General Provisions

Entire Agreement: These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and Yaap.

Severability: If any provision is found unenforceable, the remaining provisions continue in effect.

No Waiver: Failure to enforce any provision does not waive Yaap's right to enforce it later.

Assignment: You may not assign these Terms. Yaap may assign its rights and obligations without restriction.

No Third-Party Beneficiaries: These Terms do not create rights for anyone other than you and Yaap.
